These Terms of Service ("Terms") govern your access to and use of the services provided by Conura ("Conura," "we," "us," or "our"). By purchasing, signing a service agreement, or otherwise engaging our services, you agree to these Terms.
1. Services
Conura provides business-to-business outbound lead generation and appointment-setting services for commercial trades contractors. This includes prospect research, outbound calling and email outreach conducted on behalf of the client, and the scheduling of qualified sales meetings, as described in each client's individual Service Agreement.
2. Service Agreement Controls
Each engagement is governed by a signed Service Agreement between Conura and the client. Where these Terms and a signed Service Agreement conflict, the signed Service Agreement controls for that engagement. These Terms apply to all users of our website and services and supplement — they do not replace — the Service Agreement.
3. Fees & Payment
- Fees are stated in the client's Service Agreement and at checkout. Current standard pricing is a one-time setup fee plus a recurring monthly retainer.
- All fees are invoiced and paid in advance of the work they cover. Setup fees are due before onboarding begins; monthly retainers are due before each service month begins.
- Payments are processed through Stripe. By paying, you agree to Stripe's terms in addition to these Terms.
- All fees are non-refundable except where required by law. Our Service Guarantee (Section 4) provides remedy through continued work, not refunds.
- Recurring retainers continue each billing period until the engagement is cancelled under Section 9.
4. Service Guarantee
Where a client's Service Agreement includes a Conditional Service Guarantee, the following applies:
- Conura commits to booking a minimum of three (3) qualified meetings within the first sixty (60) days of the client's campaign going live.
- "Go-live" means the first outbound touch made on the client's behalf. "Qualified meeting" is defined in the Service Agreement.
- If fewer than three qualified meetings are booked within the guarantee period, Conura continues working at no additional charge until three are delivered.
- The guarantee is a commitment of continued service. It is not a refund, credit, or money-back arrangement, and no fees are refunded under it.
- The guarantee is valid only while the retainer remains active and paid. If the client cancels before the guarantee is met, the guarantee obligation ends with the engagement.
5. Client Responsibilities
- Provide accurate information about your business, target customers, and service area.
- Provide timely access to a calendar or scheduling method for booked meetings.
- Respond to booked meetings and handle your own sales conversations and closing.
- Ensure that the services you ask Conura to promote are lawful and accurately described.
6. Outreach & Compliance
Conura conducts outreach in a manner intended to comply with applicable laws, including telemarketing and email regulations. Outreach is performed through manual dialing and permission-based email infrastructure. The client authorizes Conura to conduct outbound outreach on the client's behalf and represents that doing so is consistent with the client's own legal obligations.
7. Intellectual Property
Conura retains ownership of its methods, scripts, templates, systems, and processes. The client retains ownership of its own brand assets and customer relationships. Prospect lists and meeting data generated during an engagement are provided to the client for use in that engagement.
8. Confidentiality
Each party agrees to keep the other party's non-public business information confidential and to use it only to perform under the engagement. This obligation survives termination of the engagement.
9. Term & Cancellation
- Engagements run month-to-month unless the Service Agreement states otherwise.
- Either party may cancel with thirty (30) days' written notice.
- Fees already paid for the current period are not refunded on cancellation.
- Cancellation before a Service Guarantee is met ends the guarantee obligation, as described in Section 4.
10. Disclaimers
Services are provided on a commercially reasonable basis. Except for any express Service Guarantee stated in the Service Agreement, Conura does not warrant specific revenue, closed contracts, or sales outcomes. Conura books qualified meetings; the client is responsible for its own close rate and sales results. Services are provided "as is" to the fullest extent permitted by law.
11. Limitation of Liability
To the fullest extent permitted by law, Conura's total liability arising out of or relating to the services shall not exceed the total fees paid by the client to Conura in the three (3) months preceding the event giving rise to the claim. Conura is not liable for indirect, incidental, special, or consequential damages, including lost profits.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute shall be brought in the state or federal courts located in Texas.
13. Changes to Terms
Conura may update these Terms from time to time. The "Last updated" date at the top reflects the most recent version. Material changes affecting an active engagement will be communicated to the client. Continued use of the services after changes take effect constitutes acceptance.
